Texts and Publications by\u00a0 authorities<\/span><\/strong><\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-family: 'trebuchet ms', geneva, sans-serif; color: #808080;\"><strong>&#8211; <\/strong><strong>FR | Ordinance No. 2026-255 of 8 April 2026 and Decree No. 2026-309 of 24 April 2026 | Transposition of CRD VI: supervisory powers, third-country branches, governance and ESG risks<\/strong><\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #808080; font-family: 'trebuchet ms', geneva, sans-serif;\">Ordinance No. 2026-255 of 8 April 2026, which entered into force on 10 April and was supplemented by Decree No. 2026-309 of 24 April 2026, transposes Directive (EU) 2024\/1619, known as \u201cCRD VI\u201d, which, together with the CRR III Regulation, forms the final component of the European banking package. It mainly amends the French Monetary and Financial Code in order to implement the framework applicable to credit institutions, finance companies, the most significant investment firms, financial holding companies and mixed financial holding companies.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #808080; font-family: 'trebuchet ms', geneva, sans-serif;\">The text first provides for the conditions governing access to the French market for third-country credit institutions and the conditions under \u00a0which a bank established outside the EU\/EEA may provide banking services in France without setting up a branch, in particular in the context of \u00a0intra-group transactions, interbank transactions or transactions carried out solely at the customer\u2019s initiative. It also amends the prudential regime applicable to third-country branches (TCBs), with the relevant provisions entering into force \u00a0on 11 January 2027.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #808080; font-family: 'trebuchet ms', geneva, sans-serif;\">Authorisations granted before 10 January 2027 will remain valid provided that the relevant TCBs have submitted to the French Prudential Supervision and Resolution Authority (<em>Autorit\u00e9 de contr\u00f4le prudentiel et de r\u00e9solution<\/em>, \u201cACPR\u201d) the information required to demonstrate compliance with the new prudential requirements.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #808080; font-family: 'trebuchet ms', geneva, sans-serif;\">The Ordinance also strengthens prudential supervision over significant transactions. Certain acquisitions or disposals of qualifying holdings, significant transfers of assets or liabilities, mergers and demergers must now be notified in advance to the competent supervisory authority, with the ACPR or the ECB being able to oppose such transactions.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #808080; font-family: 'trebuchet ms', geneva, sans-serif;\">Finally, the text incorporates \u00a0ESG risks into institutions\u2019 governance and internal control frameworks. It also strengthens the requirements applicable to managers and key function holders, as well as the ACPR\u2019s powers regarding formal notices, penalty payments and sanctions.<\/span><\/p>\n<p><strong><span style=\"color: #808080; font-family: 'trebuchet ms', geneva, sans-serif;\">&#8211; <\/span><\/strong><span style=\"font-family: 'trebuchet ms', geneva, sans-serif; color: #808080;\"><strong>FR | Order of 24 April 2026 | Technical operating arrangements for the national register of accounts flagged for fraud risk<\/strong><\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #808080; font-family: 'trebuchet ms', geneva, sans-serif;\">The National Register of Accounts Flagged for Fraud Risk (<em>Fichier national des comptes signal\u00e9s pour risque de fraude<\/em>, \u201cFNC-RF\u201d), established under Law No. 2025-1058 of 6 November 2025 (the \u201cLabaronne Law\u201d) and effective since 7 May 2026, strengthens the French framework for combating payment fraud, particularly fraud involving bank transfers and other electronic means of payment.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #808080; font-family: 'trebuchet ms', geneva, sans-serif;\">Managed by the Banque de France, this mechanism requires payment service providers to continuously report and update accounts identified as presenting a risk of fraud. Designed as a preventive, rather than punitive, mechanism, the FNC-RF is intended primarily to strengthen fraud detection and facilitate \u00a0information sharing between financial institutions and public authorities, against a backdrop of a sharp increase in transfer fraud and the growing sophistication of social engineering techniques.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #808080; font-family: 'trebuchet ms', geneva, sans-serif;\">In this context, the Order of 24 April 2026 sets out the technical operating arrangements applicable to the FNC-RF. In particular, it details the information to be transmitted by reporting institutions for each suspected incident (account identifier, BIC of the account-holding institution, detection date, transaction type, fraud category and, where applicable, the existence of a complaint or report for identity theft). It also sets out\u00a0 reporting arrangements and procedures for informing account holders, as well as how they may \u00a0exercise \u00a0their rights under the \u00a0GDPR with respect to the account-holding payment service provider, and the applicable the sanctions regime in the event of non-compliance, under which breaches may give rise to administrative measures imposed by the competent supervisory authority.<\/span><\/p>\n<p><strong><span style=\"color: #808080; font-family: 'trebuchet ms', geneva, sans-serif;\">&#8211; FR |Decree No. 2026-310 of 24 April 2026 | Access to the beneficial ownership register and AML\/CFT training<\/span><\/strong><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #808080; font-family: 'trebuchet ms', geneva, sans-serif;\">Decree No. 2026-310 of 24 April 2026 amends the rules governing access to the beneficial ownership register and clarifies the training obligations applicable to professionals subject to AML\/CFT requirements.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #808080; font-family: 'trebuchet ms', geneva, sans-serif;\">The text provides for the assessment of the legitimate interest required to access information relating to beneficial owners, as well as the time limits for examining requests by register keepers or court clerks. It provides, in particular, for the issuance of an access certificate valid for three years where a legitimate interest is recognised. The existence of a legitimate interest is assessed notably by reference to the applicant\u2019s position or role, and their link with the company or legal entity concerned by the information request.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-family: 'trebuchet ms', geneva, sans-serif; color: #808080;\">The Decree also requires that obliged entities must provide training, both upon hiring and on a regular basis thereafter, to staff involved in implementing AML\/CFT obligations. The content and frequency of such training must be tailored to the risks identified, the functions performed and the seniority level of the relevant staff.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-size: 12pt;\"><strong><span style=\"font-family: 'trebuchet ms', geneva, sans-serif; color: #00cc00;\">1.2. Case Law<\/span><\/strong><\/span><\/p>\n<p><strong><span style=\"color: #808080; font-family: 'trebuchet ms', geneva, sans-serif;\">&#8211; <\/span><\/strong><span style=\"font-family: 'trebuchet ms', geneva, sans-serif; color: #808080;\"><strong>EU | CJEU, 23 April 2026, Case C-744\/24, Bank Polska Kasa Opieki | Consumer credit: basis for calculating interest and credit-related costs<\/strong><\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-family: 'trebuchet ms', geneva, sans-serif; color: #808080;\">The Court of Justice of the European Union clarifies the scope of Directive 2008\/48\/EC on credit agreements for consumers as regards the basis on which the borrowing rate may be applied. It distinguishes between the \u201ctotal amount of credit\u201d, corresponding to the sums actually made available to the consumer, and the \u201ctotal cost of the credit to the consumer\u201d, which includes, in particular, interest, fees, taxes, insurance premiums and other costs related to the agreement.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-family: 'trebuchet ms', geneva, sans-serif; color: #808080;\">The Court concludes that the borrowing rate may be applied only to the amount actually lent to the consumer. Credit-related costs, such as insurance premiums or other fees not directly made available to the consumer, may therefore not be included in the interest-bearing base.<\/span><\/p>\n<p><span style=\"font-size: 12pt;\"><strong><span style=\"font-family: 'trebuchet ms', geneva, sans-serif; color: #00cc00;\">2. Disciplinary sanctions\u00a0<\/span><\/strong><\/span><\/p>\n<p><strong><span style=\"color: #808080;\">&#8211;<\/span> <span style=\"font-family: 'trebuchet ms', geneva, sans-serif; color: #808080;\">FR | ACPR Sanctions Committee, proceeding No. 2024-06 | 15 April 2026 | Reprimand and EUR 1.3 million fine imposed on MoneyGram International SA<\/span><\/strong><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-family: 'trebuchet ms', geneva, sans-serif; color: #808080;\">The ACPR Sanctions Committee issued a reprimand and imposed a EUR 1.3 million fine on MoneyGram International SA.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-family: 'trebuchet ms', geneva, sans-serif; color: #808080;\">The Committee first found deficiencies relating to the implementation of customer due diligence obligations. It also noted failures in the\u00a0 collection of information, particularly regarding \u00a0the financial and asset situation of customers in a business relationship.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-family: 'trebuchet ms', geneva, sans-serif; color: #808080;\">The Committee then found shortcomings \u00a0in the AML\/CFT risk management framework, particularly in relation to automated monitoring scenarios. It also faulted \u00a0the institution for failing, during enhanced reviews, to require the collection of supporting documentation capable of \u00a0verifying \u00a0the information provided \u00a0by customers.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-family: 'trebuchet ms', geneva, sans-serif; color: #808080;\">These shortcomings resulted in breaches of reporting obligations. The Committee also found that the human resources allocated to the periodic review of the AML\/CFT framework were insufficient to enable a comprehensive and reliable review of the network of agents operating in France.<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"font-family: 'trebuchet ms', geneva, sans-serif; color: #808080;\">This decision confirms the ACPR\u2019s high expectations regarding AML\/CFT compliance.
